End User Licence Agreement (EULA) — Endless Pro Studios

IMPORTANT — READ BEFORE INSTALLING

This End User Licence Agreement ("EULA") is a legal agreement between you ("Licensee") and Endless Pro Studios (Endless Pro Solutions, Registration No. 3593482) for the use of any software product published at endlesspro.dev, including:

• Tally2X — a comprehensive business management platform
• School2X — a complete school management system (Server, staff app, student app)
• Any other products released by Endless Pro Studios

By installing, activating, or using the software, you agree to this EULA. If you do not agree, do not install or use it. If you purchased a licence and do not agree, contact [email protected] within 14 days for a refund (see Refund Policy).

1. Grant of Licence

Subject to your compliance with this EULA and payment of all applicable fees, Endless Pro Solutions grants you a licence according to the model applicable to the product:

Perpetual licence products (e.g. Tally2X):

• Permanent (never expiring once paid in full)
• Non-exclusive · Non-sublicensable
• Limited to the machines/devices in your tier

Annual subscription products (e.g. School2X):

• Valid for 12 months from purchase, renewable
• Non-exclusive · Non-sublicensable
• Limited to the installation scope of your tier

Freemium companion apps (e.g. School2XA, School2XS) are free to install and connect to your licensed server. Their use is governed by this EULA.

2. What You May Do

• Install the software within the scope of your licence tier
• Make reasonable backup copies of the installer for archival purposes
• Use the software for your internal business or institutional operations
• Transfer a perpetual licence to a new owner as provided in §6

3. What You May Not Do

• Exceed your tier's machine, device, or capacity limits
• Reverse engineer, decompile, or disassemble the software except where permitted by law
• Circumvent or tamper with licence validation or machine fingerprinting
• Share, lease, sublicence, or resell the software or your licence key without our consent
• Modify the software or create derivative works
• Remove or obscure any copyright or proprietary notices
• Use the software as a hosted service accessible to third parties without written agreement

4. Activation and Licence Validation

4a. Activation

The software activates against our licence server on first installation. An internet connection is required for activation only. After activation, the software operates fully offline.

4b. Periodic Check-In

The software periodically checks in with our licence server to verify the licence remains valid. The software continues to operate during periods without internet connectivity within the limits of your tier's check-in policy.

4c. What Is Transmitted

During activation and check-ins, the software transmits only:

• Your licence key
• A one-way machine fingerprint (cryptographic hash — not personally identifiable)
• Software version number
• Your IP address (fraud detection only — not stored long-term)

No operational data — inventory, sales, student records, fees, attendance, staff data — is ever transmitted to Endless Pro Studios. It never leaves your machine or server.

4d. Machine Fingerprint

The machine fingerprint is a one-way hash. It is used only to enforce your machine limit and detect unauthorised transfers. It cannot be reversed to identify you or your hardware.

5. Licence Tiers and Limits

Tier limits vary by product. The limits applicable to your purchase are shown at checkout and in your licence confirmation email. Current limits for active products:

Tally2X

School2X

Student caps are soft — they trigger an admin notification but do not block any operations. Machine limits for Tally2X are hard — exceeding them blocks further activations but does not deactivate existing machines.

6. Licence Transfer

Perpetual licences may be transferred to a new owner once per calendar year at no charge. Additional transfers require a Transfer Token (paid add-on):

1. Email [email protected] with your licence key and the new owner's contact details
2. We will update the licence record and send activation instructions to the new owner
3. Your activations will be deregistered

Subscription licences are tied to the licensed organisation and may not be transferred to a different organisation without our prior written consent. Name changes and mergers are accommodated at no charge — contact us to update your record.

7. Updates

Perpetual licences: all paid tiers receive all updates — bug fixes, security patches, new features — for the lifetime of the product, at no extra cost. Free tiers receive critical fixes and security patches only.

Subscription licences: all updates are included while your subscription is active. If you do not renew, your installed version continues operating on the last version you had — you will not receive new updates until you renew.

Updates are delivered in-app or as a downloadable installer. We do not silently push changes that alter core functionality without notice.

8. Ownership

The software and all intellectual property rights in it belong to Endless Pro Studios. This EULA grants you a licence to use it — not ownership of it.

All data you create and store within the software on your own hardware belongs to you. We have no rights over it.

Our software supports backup and synchronisation with major cloud storage providers (including Google Drive, OneDrive, Dropbox, and S3-compatible storage). Data is synced to your own cloud account — never to Endless Pro Studios servers. Full operation resumes with no data loss when a current backup is available, including after hardware replacement, reinstallation, or disaster recovery.

9. Warranty

We warrant that, for 90 days from first activation:

• The software will perform materially in accordance with its documentation
• The software will be free from defects that prevent its intended use

Your remedy for a warranty breach is repair, replacement, or a refund at our discretion.

This warranty does not apply to defects caused by your hardware, OS, or third-party software; modifications you made; or use inconsistent with the documentation.

All other warranties are disclaimed to the maximum extent permitted by applicable law.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total liability for any claim shall not exceed the fees you paid us in the 12 months before the claim arose
• We are not liable for loss of profit, data, business interruption, or indirect loss
• We are not liable for data loss caused by your hardware or failure to maintain backups

Nothing in this EULA excludes liability for fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded by law.

11. Termination

By you: Uninstall the software. Refund eligibility is governed by the Refund Policy.

By us: We may terminate for material breach if you fail to cure within 14 days of notice. We will not terminate without cause.

Perpetual licences cannot be terminated by us for commercial reasons after purchase. Your right to use the purchased version survives permanently.

12. Governing Law

This EULA is governed by the laws applicable to Endless Pro Studios as a registered business. Disputes are resolved as described in the Terms of Service.

Your statutory rights under the laws of your country remain unaffected.

13. Entire Agreement

This EULA, together with the Terms of Service, Privacy Policy, and Refund Policy at endlesspro.dev, constitutes the entire agreement regarding the licensed software.
