Terms of Service — Endless Pro Studios

1. Who You Are Contracting With

These Terms of Service ("Terms") form a binding agreement between you ("Customer") and Endless Pro Studios (Endless Pro Solutions, Registration No. 3593482), a software studio that builds tools improving performance across every sphere of business.

By purchasing, downloading, installing, or using any Endless Pro Studios software product, you agree to these Terms. If you are accepting on behalf of a company or institution, you represent that you have the authority to bind that organisation.

If you do not agree, do not purchase, install, or use our software.

2. Our Products

Endless Pro Studios builds offline-first software — applications that run on your own hardware and do not require a permanent internet connection to operate. Your data stays on your machine or server at all times. An internet connection is required only for licence activation, periodic licence check-ins, and purchasing.

Our products support backup and synchronisation with major cloud storage providers — including Google Drive, OneDrive, Dropbox, and S3-compatible storage. Data sync is to the customer's own cloud account; data is never synced to Endless Pro Studios servers. Full operation resumes with no data loss when a current backup is available — this applies to machine replacements, reinstallations, and disaster recovery scenarios.

Tally2X A comprehensive business management platform — covering inventory, point-of-sale, stock control, multi-location operations, staff management, and more. Built for businesses that want to own their data and never pay a monthly subscription. Licensed as a one-time perpetual purchase. See §4.

School2X A complete school management system — covering student information, fees, attendance, assessments, CBE, staff RBAC, parent portal, governance, and more. Built offline-first so schools own their data and the system runs without a reliable internet connection. Licensed as an annual subscription. See §5.

Additional products may be added to this portfolio over time. Each product's licensing model (perpetual, subscription, or other) is described in its respective section of these Terms or in a product-specific addendum.

3. Purchasing and Payment

3a. Prices and Currency

Prices are displayed at checkout in the currency applicable to your region. The displayed price is the base price before payment processing fees. A processing fee is added at checkout by our payment processor and displayed before you confirm your purchase. By completing your purchase you accept both the product price and the applicable processing fee.

3b. Payment Processing

All payments are processed by Paystack. We do not store your card or bank details. By making a payment, you also agree to Paystack's terms of service (paystack.com/terms).

3c. Currency and Conversion

The currency shown at checkout is determined automatically based on your region. Your bank may apply its own currency conversion — this is outside our control.

3d. Taxes

Our displayed prices do not include taxes, duties, or levies that may apply in your jurisdiction. You are responsible for any applicable taxes on your purchase.

3e. Purchase Confirmation

You will receive a purchase confirmation email with your licence key within a few minutes of a successful payment. If you do not receive it within 1 hour, contact [email protected] before attempting to purchase again.

4. Perpetual Licence Terms (e.g. Tally2X)

This section applies to products sold under a one-time perpetual licence model.

4a. What You Get

A perpetual, non-exclusive, non-transferable (except as permitted by §7) licence to install and use the software on the number of machines or devices permitted by your tier.

4b. Perpetual Means Forever

Once purchased, your licence does not expire. You do not need to make any further payments to continue using the version you purchased.

4c. Updates

All paid tiers receive software updates — bug fixes, security patches, and new features — for as long as the product is actively developed, at no additional charge. Entry-level free tiers receive critical fixes and security patches only.

4d. Machine and Usage Limits

Your licence authorises use within the limits of your tier (machines, capacity, locations, etc.). Each machine is identified by a fingerprint registered at activation. If you exceed your limit, additional activations are refused until you free up a slot or purchase an expansion add-on.

4e. Instalment Plans

Perpetual licences may be purchased via an instalment plan where available. During the instalment period your licence is fully active. If a payment is missed, a grace period applies during which your licence remains fully active. If the missed payment is not resolved within the grace period, your licence enters a restricted state. Full access is restored immediately upon receipt of the overdue payment. Once all instalments are paid, your licence is perpetual with no further payments required.

5. Annual Subscription Terms (e.g. School2X)

This section applies to products sold under an annual subscription model.

5a. What You Get

An annual, non-exclusive, non-transferable licence to install and operate the software within the capacity limits of your tier. Your licence is valid for 12 months from the date of purchase.

5b. Renewal

To continue receiving software updates and to maintain an active licence status, renew annually. Each renewal is a discrete purchase.

5c. If You Do Not Renew

• Grace period (30 days): Your licence remains fully active. You will receive reminders.
• After the grace period: The software enters a restricted state — your data remains fully accessible and exportable at all times, but some operational functions are limited pending renewal.
• Your data is never deleted or held hostage. It stays on your server, under your control, regardless of subscription status.
• Renewing restores full access immediately — no data loss, no reinstallation.

5d. Soft Caps

Where a tier includes a usage cap (e.g. enrolled students), the cap is a soft limit. Exceeding it triggers an in-app notification but does not block operations. We will not suspend your service solely because of a soft cap breach.

5e. Optional Support Plans

Where an optional annual support add-on is available, lapsing it does not affect your software licence. The software continues operating on your installed version.

6. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the software except as permitted by law
• Attempt to circumvent licence validation or machine fingerprinting
• Share your licence key with parties outside your organisation
• Use the software for any unlawful purpose
• Use the software to store, process, or transmit data in violation of applicable law
• Resell, sublicence, or redistribute the software without our written permission

7. Licence Transfer

Perpetual licences may be transferred to a new owner (e.g. if you sell your business) by contacting [email protected]. One free transfer per calendar year is included; additional transfers require a Transfer Token (available as a paid add-on).

Subscription licences (e.g. School2X) are tied to the licensed organisation. Transfer to a different organisation requires our prior written consent. Name changes or mergers are handled at no charge — contact us to update your licence record.

Server machine replacement (School2X): School2X licences may be moved to a replacement server machine via an OTP-verified process. One free server replacement per 12-month period is included. Additional replacements within the same period require a paid Server Replacement Token. Full operation resumes with no data loss when a current backup is available.

8. Add-Ons

Add-ons are one-time purchases that permanently expand your licence (additional machine slots, capacity packs, locations, transfer tokens, etc.). Add-ons apply only to the licence they are purchased for and are non-transferable separately from the base licence.

9. Intellectual Property

The software, including all code, design, and documentation, belongs to Endless Pro Studios. These Terms grant you a licence to use the software — not ownership of it.

Your data stored within the software on your own hardware belongs entirely to you. We make no claim over it.

10. Warranties and Disclaimers

We warrant that:

• The software will perform materially as described in our documentation
• We have the right to licence the software to you

We disclaim all other warranties to the maximum extent permitted by applicable law, including implied warranties of merchantability or fitness for a particular purpose.

We are not responsible for hardware failures, data loss caused by your infrastructure, or third-party software incompatibilities.

11. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability to you for any claim arising from these Terms or your use of the software shall not exceed the amount you paid us in the 12 months preceding the claim.

We are not liable for loss of profits, revenue, or business; loss of data caused by your hardware or infrastructure; or any indirect or consequential loss.

Nothing in these Terms limits liability for fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded by law.

12. Termination

By you: You may stop using the software at any time. Refund eligibility is governed by our Refund Policy.

By us: We may suspend or terminate a licence if you materially breach these Terms and fail to remedy the breach within 14 days of notice. We will not terminate without cause.

Perpetual licences cannot be terminated by us for commercial reasons after purchase — your right to use the purchased version is permanent.

13. Governing Law and Disputes

These Terms are governed by the laws applicable to Endless Pro Studios as a registered business. Any dispute shall first be attempted to be resolved by direct negotiation. If unresolved within 30 days, it shall be referred to mediation or arbitration. Nothing prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.

Your statutory consumer rights under the laws of your country remain unaffected by these Terms. If your jurisdiction's consumer protection law grants you rights that are broader than those described here, those rights prevail.

14. Changes to These Terms

We will notify licence holders of material changes by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

15. Entire Agreement

These Terms, together with the Privacy Policy, EULA, and Refund Policy at endlesspro.dev, constitute the entire agreement between you and Endless Pro Studios. They supersede all prior representations or agreements.
